Please read these terms and conditions of use carefully before accessing, using or obtaining any materials, information, products or services. By accessing our website, extension, mobile or tablet application, or any other feature or other platform (collectively "Our Website") you agree to be bound by these terms and conditions ("Terms") and our Privacy Policy.

If you do not accept all of these Terms, then you may not use our website. References to "we," "us," and "our" in these Terms pertain to Arui AI (ARUITER TECHNOLOGY LIMITED). And "you" or "your" refers to you as the user of our website.

1. General Terms

By accessing this Website, you are agreeing to be bound by these Website Terms and Conditions of Use and agree that you are responsible for the agreement with any applicable local laws. If you disagree with any of these terms, you are prohibited from accessing this site. The materials contained in this Website are protected by copyright and trademark law.

2. Refund Policy

As a SaaS provider, all products and services offered by Arui AI are non-tangible and irrevocable. We generally do not issue refunds once the order is completed and delivered. Please read these terms carefully before making any payment.

2.1 24-Hour Refund Window (First-Time Purchase Only)

For One-Time Credit Packs:

✓If NO credits have been used: Full refund (100%)
~If credits have been used: Proportional refund based on unused credits

Example: Purchased 10,000 credits for $19.99, used 3,000 credits → Refund amount = $19.99 × (7,000 ÷ 10,000) = $13.99

For Subscriptions (Monthly/Yearly):

✓Full refund available within 24 hours if: No credits have been used AND No AI generations have been created
✗Partial refunds are NOT available for subscriptions after credits are used

Reason: Subscription grants access to the service, not just credits

Important Notes:

• "First-time purchase" means the initial payment with a new account
• Does NOT include renewals, plan upgrades, or additional purchases
• Refund requests must be submitted within 24 hours of purchase
• Please contact us at contact@arui.ai with your order ID and reason
• Processing time: 3-5 business days

2.2 Automatic Credit Refunds

Our system automatically refunds credits in the following situations:

Credits WILL be refunded:

✓Content flagged by safety systems BEFORE AI processing begins
✓System errors or technical failures before processing starts
✓Authentication or parameter validation errors
✓Network errors that prevent processing

Credits will NOT be refunded:

✗AI processing has already begun (costs incurred with our AI service providers)
✗Content is flagged DURING or AFTER processing
✗Generation completes successfully but user is unsatisfied with results
✗User dissatisfaction with AI-generated content quality

2.3 Non-Refundable Situations

We do NOT support refunds for:

✗Product results or effectiveness (e.g., AI-generated content quality)
✗Content policy violations detected during or after processing
✗User dissatisfaction with generated results
✗Completed AI generations where processing costs have been incurred

2.4 Subscription Terms

Automatic Renewal:

•Your subscription begins as soon as your initial payment is processed
•Your subscription will automatically renew at the end of each period without notice until you cancel
•You authorize us to store your payment method(s) and to automatically charge your payment method(s) every period until you cancel

Yearly Plans:

•For yearly subscriptions, credits are distributed monthly over 12 months
•If you cancel, you will continue to receive remaining monthly credit allocations until the year ends
•Refunds for yearly plans are only available within the first 24 hours of purchase (if no credits used)

2.5 Cancellation Terms

You may cancel your subscription anytime via: Profile → My Account → Manage Billing, or by contacting customer service at contact@arui.ai

Cancellation Policy:

•Cancel before your renewal to avoid billing for the next period
•Your cancellation will be effective as of the last day of the period for which you paid
•You may continue to use the subscription until cancellation is effective
•No refund will be issued for the current billing period

2.6 Credit Validity

Subscription Credits:

Credit refresh date depends on your specific subscription start date. Each batch of credits is valid until the day before the next refresh date (approximately 30-day cycles).

•Example: If you subscribe on June 6th, your first batch of credits will be issued on June 7th, valid until July 5th
•Your next batch of credits will refresh on July 6th, valid until August 5th, and so on
•Any unused credits will automatically expire at the end of each cycle
•Monthly and yearly subscribers follow the same cycle pattern

One-Time Purchased Credits:

Purchased credits (credit packs) never expire — use them anytime.

Registration Bonus Credits:

New users receive 40 bonus credits upon registration, valid for 30 days from the registration date.

After Subscription Cancellation:

•Subscription credits will expire at the end of your current billing cycle
•One-time purchased credits remain valid and never expire
•If you resubscribe, a new credit cycle begins from your new subscription date

3. Intellectual Property

3.1 User-Generated Content

You retain ownership of any original content you input into our Services (such as text prompts). For AI-generated content created using our Services, you are granted a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute such content for personal or commercial purposes, subject to these Terms and applicable laws.

3.2 Restrictions

You may not claim exclusive ownership or copyright over AI-generated content that is substantially similar to content generated for other users. You may not use our Services to create content that infringes on third-party intellectual property rights.

3.3 Our Intellectual Property

All rights, title, and interest in and to the Services, including all software, technology, designs, logos, and trademarks, are and will remain the exclusive property of Arui AI. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

4. Disclaimer and Limitation of Liability

4.1 "As Is" Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

4.2 AI-Generated Content

We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content. AI-generated content may contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing and verifying any AI-generated content before use.

4.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARUI AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

4.4 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

5. Dispute Resolution

5.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

5.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration in Hong Kong, conducted in English. The arbitration shall be administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its rules.

5.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

6. Service Changes and Termination

6.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

6.2 Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease.

6.3 Effect of Termination

Upon termination: (a) all licenses granted to you will terminate; (b) you must cease all use of the Services; (c) any outstanding payment obligations remain due; (d) sections of these Terms that by their nature should survive termination will survive.
